The wider board of directors have been considering the size and makeup of the new board of directors to be elected at the AGM on October 12th. Based on this years experience and the need to speed up the decision making process and have more ‘working’ directors it is proposed to limit the maximum number of elected directors to 12. The chair has a casting vote. This would mean there is a larger ‘core group’ who will head up the ‘work’ streams needed to service the FSA members and further the FSA objectives. This year has proved to be a large workload for the smaller exec. It would also mean that at the more regular meetings decisions could be made without having to refer to a larger board of directors that only meet three times a year. This smaller board of directors would be able to call on a group of ‘advisors’ who represent the different sectors of society involved with Forest School, which would ensure all sectors voices are heard.

We are therefore proposing a resolution to change article 28 that pertains to the maximum size of the board of directors in the articles of association for the FSA; “Current Article 28 The minimum number of directors shall be three but (unless otherwise determined by ordinary resolution) shall be subject to a maximum of twenty two.”

The proposed change is; “Article 28 The minimum number of directors shall be three but (unless otherwise determined by ordinary resolution) shall be subject to a maximum of twelve.”
